Terms and policies
Last updated: October 18, 2026
These Terms of Service (the “Terms”) are an agreement between Riley Tech Inc., a Delaware corporation (“Riley”, “we”, “us” or “our”), and the person or organization that signs up for or uses the Riley service (“you” or “your”). They apply to the Riley web app, the Riley mobile apps, Riley-provided phone numbers, the Try Riley demo, and all related features and support (together, the “Service”).
By clicking to accept these Terms, or by using the Service, you agree to them. If you accept on behalf of a team, brokerage or other organization, you confirm that you have authority to bind it, and “you” means that organization. If you do not agree, do not use the Service.
PLEASE READ SECTION 17 CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND WAIVES CLASS ACTIONS AND JURY TRIALS.
1. Who can use Riley
1.1 The Service is for real estate professionals and their teams and brokerages, for business purposes only. You must be at least 18 and able to enter into a binding contract.
1.2 If you are a real estate agent using the Service with leads, mailboxes, calendars or listings that belong to or are supervised by a brokerage, you confirm that your brokerage allows you to use the Service with them.
1.3 You may let your employees, team members and contractors use the Service under your account (“Authorized Users”). You are responsible for your Authorized Users, everything they do in the Service, and keeping all login details secure. Tell us promptly at support@getriley.ai if you believe your account has been accessed without permission.
1.4 The Service is intended for use in the United States.
2. What Riley does
2.1 Riley is an AI assistant that works for you. Depending on the features you use and how you set them up, Riley may answer and place calls, send and respond to emails and text messages, ask leads questions, summarize conversations, label, score and prioritize leads, schedule appointments and showings, update your records, and take other actions on your behalf.
2.2 Riley acts on your instructions and settings. When Riley communicates with your leads, clients or other contacts, it does so in your name and on your behalf, and you are the sender and caller of those communications.
2.3 Riley may add, change, or remove features of the Service at any time. Features labeled beta, preview, pilot or similar are provided as is and may change or end without notice.
3. Your responsibilities for communications
3.1 You are responsible for compliance. You decide who Riley contacts, when, how and about what. You are solely responsible for making sure that every call, voicemail, text message and email sent through the Service, and your use of the Service in general, complies with all applicable laws and rules. These include the Telephone Consumer Protection Act and FCC rules (including rules on artificial or AI-generated voices), the Telemarketing Sales Rule, state telemarketing and call-recording laws, do-not-call rules, the CAN-SPAM Act and state email laws, fair housing laws, real estate licensing and advertising rules, and consumer protection and privacy laws.
3.2 Consent. You are responsible for obtaining, and keeping records of, any consents, permissions and opt-outs the law requires before Riley contacts anyone for you, and for giving any notices the law requires. By using the Service to contact someone, you confirm that you have the consents and permissions needed for that contact. Riley does not obtain consent for you and is not responsible for checking whether you have it. Any consent, opt-out, recording-notice or calling-hours tools Riley provides are conveniences only, and do not shift any of your responsibilities to Riley.
3.3 Do-not-call and opt-outs. You are responsible for maintaining your own internal do-not-call list, checking applicable do-not-call registries where required, and honoring opt-out requests.
3.4 Text messages. If you send text messages through the Service, they are sent under your own business brand, registered under Riley’s account with its messaging provider. You agree to provide accurate registration information and to comply with the Twilio Acceptable Use Policy (https://www.twilio.com/legal/aup), the Twilio Messaging Policy (https://www.twilio.com/legal/messaging-policy), the CTIA Messaging Principles and Best Practices, and wireless carrier requirements, each as updated from time to time. Riley may suspend or limit messaging if Twilio or a carrier requires it, or if Riley believes your messaging may breach these rules. You are responsible for any carrier fines, fees or penalties caused by your messaging.
3.5 Email. If you connect an email account, you authorize Riley to read, send and manage email in that account as needed to provide the features you use.
3.6 Leads and fair housing. Lead labels, scores, rankings, summaries and suggestions produced by the Service are tools to help you prioritize your work. They are not decisions about anyone’s eligibility, creditworthiness or tenancy, and Riley is not a consumer reporting agency. You are responsible for how you use them and for complying with fair housing and anti-discrimination laws.
4. Acceptable use
4.1 You may not, and may not allow anyone else to, use the Service to:
a) send unsolicited or unlawful calls, texts or emails, including bulk messages, or messages to purchased, rented or scraped contact lists without the required consent;
b) spoof caller ID, misrepresent who you are, or impersonate another person or business;
c) harass, threaten or abuse anyone, or send hateful, obscene or misleading content;
d) discriminate unlawfully against anyone, including on the basis of a characteristic protected by fair housing laws or source of income;
e) contact people you know to be minors, or anyone who has asked not to be contacted;
f) collect or send sensitive information, such as Social Security numbers or financial account numbers, through Riley’s messages or calls unless it is necessary and lawful;
g) violate anyone’s privacy, intellectual property or other rights, or break any law; or
h) copy, reverse engineer, scrape, resell, overload or interfere with the Service, get around its limits or security, or use it to build a competing product.
4.2 Riley may investigate suspected violations, and may remove content, block communications, or suspend or end your access if Riley believes you have broken these Terms.
5. Your data
5.1 You own your data. “Customer Data” means the information you and your Authorized Users put into the Service, and the information the Service collects or creates on your behalf, including your contacts, leads, conversations, call recordings and transcripts. As between you and Riley, you own your Customer Data.
5.2 How Riley may use it. You grant Riley a worldwide, non-exclusive, royalty-free, fully paid-up, transferable and sublicensable license to host, copy, process, transmit, display, modify, create derivative works of, analyze and otherwise use Customer Data: (a) to provide, maintain, support and secure the Service; (b) to improve and develop Riley’s products and services, including designing, training, fine-tuning, evaluating and improving artificial intelligence and machine-learning models and features; (c) to enforce these Terms and exercise Riley’s rights; and (d) as described in Riley’s privacy policies. Riley will not compensate you for this use. This license continues after your use of the Service ends for as long as Riley keeps Customer Data under these Terms and its privacy policies. It does not cover information Riley receives through Google APIs, which Riley uses only as described in section 6.
5.3 Aggregated data. Riley may create aggregated, anonymous or de-identified information from Customer Data and from use of the Service, including information processed before you accepted these Terms, so that it cannot reasonably be linked to you or any individual (“Aggregated Data”). Aggregated Data is not Customer Data. Riley may use, share and commercialize Aggregated Data for any lawful purpose, including improving its products, developing new products and AI features, publishing industry insights, and making it available to third parties, including for compensation, both during and after your use of the Service and without payment to you. Riley may keep Aggregated Data after your account ends. Riley will not publicly identify you or any individual as the source of Aggregated Data. This section does not apply to information Riley receives through Google APIs.
5.4 Access by Riley. Riley, its personnel and its service providers may access, monitor and review Customer Data and your use of the Service, including conversations the Service handles for you, to provide, support, secure and improve the Service and to enforce these Terms. Access to information received from Google APIs is limited as described in section 6.
5.5 Service providers. You authorize Riley to use service providers, including hosting, telephony, messaging, email, payment and artificial intelligence providers, to provide the Service, and to change them from time to time.
5.6 Privacy law roles. Where applicable privacy law treats Riley as your service provider or processor for personal information in Customer Data, Riley will process that personal information as that law requires. Riley’s privacy policies at getriley.ai/legal/website-privacy and getriley.ai/legal/privacy describe how Riley handles personal information.
5.7 Your responsibility for Customer Data. You are responsible for the accuracy and legality of Customer Data, and for having all rights, notices and consents needed for Riley to process it under these Terms.
5.8 Export and deletion. You may request an export of Customer Data during your subscription and for 30 days after it ends. After that, Riley has no obligation to keep Customer Data and may delete it, except as described in Riley’s privacy policies and section 5.3.
6. Google data
If you connect a Google account, Riley’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. More detail is in Riley’s Service Privacy Policy.
7. AI output
7.1 The Service uses artificial intelligence. AI output can be inaccurate, incomplete or inappropriate, and Riley may act in real time based on your settings, without you reviewing each action first.
7.2 Riley makes no promise that any output is accurate or suitable for your purposes. You should not rely on output as your only source of truth. You are responsible for your settings, for supervising how Riley acts for you, and for reviewing output before you rely on it.
7.3 Nothing produced by the Service is legal, financial, tax or real estate advice. Riley may decline instructions it considers unlawful or harmful.
8. Fees and billing
8.1 Plans. Fees, plans and any included usage are shown when you sign up or at checkout. Some features, such as calls and text messages, may carry usage-based charges.
8.2 Automatic renewal. Paid plans renew automatically at the end of each billing period, monthly or annually depending on your plan, until you cancel. You authorize Riley and its payment processor to charge your payment method for each renewal and for any usage-based charges, plus applicable taxes.
8.3 Cancellation. You can cancel at any time in your account’s billing settings or by emailing support@getriley.ai. Cancellation takes effect at the end of the current billing period or, for a plan with an annual commitment, at the end of that annual term, and you keep access until then. If your annual commitment is billed in installments, you must pay the remaining installments for that term.
8.4 No refunds. All fees are non-refundable, including for partial billing periods, unused features or usage, and downgrades, except where the law requires otherwise.
8.5 Trials and pilots. Riley may offer free trials, pilots or promotional pricing on the terms shown when offered, and may change or end them at any time. When a trial ends, your plan becomes paid if you have provided a payment method and have not cancelled; otherwise your access may be paused or ended.
8.6 Price changes. Riley may change its prices, plans and fees. A price change for an existing subscription applies from your next billing period, and Riley will notify you in advance where the law requires.
8.7 Late payment. If a payment fails or is late, Riley may suspend or limit the Service until it is paid.
8.8 Fair use. Plans are designed for the normal business use of the real estate agent, team or brokerage on that plan. Riley may set, apply and change limits on usage, including the number of calls, call minutes, text messages and emails, and may slow, queue, pause or decline usage that Riley considers excessive or abnormal, or that could harm the Service or other customers. Riley does not have to publish these limits in advance. If your usage regularly goes beyond normal business use, Riley may ask you to move to a different plan or to pay for the extra usage.
9. Suspension and termination
9.1 Riley may suspend or end your access to all or part of the Service at any time, for any reason, with or without notice. Fees already paid are not refunded, except where the law requires otherwise.
9.2 When your access ends, your right to use the Service ends. Sections 1.3, 2.2, 3, 4, 5, 7, 8 (for amounts owed), 10.3, and 11 to 20 continue to apply.
10. Phone numbers
10.1 Riley may provide phone numbers for use with the Service. Riley or its providers own those numbers, and you receive only the right to use them while your account is active.
10.2 You may not port a Riley-provided number to another provider unless Riley agrees in writing.
10.3 Riley may release or reassign a Riley-provided number 30 days after your account closes or the number is no longer used with the Service.
11. Riley’s property
11.1 Riley and its licensors own the Service and all related software, technology, content and intellectual property. Subject to these Terms, Riley gives you a limited, non-exclusive, non-transferable right to use the Service for your business while your account is active.
11.2 If you send Riley feedback or suggestions, Riley may use them freely without any obligation to you.
11.3 Riley may identify you as a customer, using your name and logo, in its marketing. You can ask Riley to stop at any time by emailing support@getriley.ai.
12. Third-party services
The Service works with third-party services, such as Google, Microsoft, phone carriers, lead sources and listing platforms. Your use of them is governed by their own terms. Riley is not responsible for third-party services, and may stop supporting any of them at any time.
13. Disclaimer
THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, RILEY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. RILEY DOES NOT PROMISE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT ANY CALL, MESSAGE OR EMAIL WILL BE DELIVERED, OR THAT YOU WILL ACHIEVE ANY PARTICULAR RESULT.
14. Limitation of liability
14.1 TO THE FULLEST EXTENT PERMITTED BY LAW, RILEY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DEALS, COMMISSIONS, GOODWILL OR DATA, HOWEVER CAUSED.
14.2 TO THE FULLEST EXTENT PERMITTED BY LAW, RILEY’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED US$100.
14.3 These limits apply to every type of claim, including contract, tort (including negligence), statute and data security, even if Riley was told the damages were possible, and even if a remedy fails of its essential purpose.
15. Your indemnity
You will defend, indemnify and hold harmless Riley and its affiliates, officers, directors, employees and agents from and against all claims, demands, damages, losses, fines, penalties, costs and expenses (including reasonable attorneys’ fees) arising from or relating to: (a) Customer Data; (b) your or your Authorized Users’ use of the Service or of any output; (c) any call, voicemail, text message or email sent or placed on your behalf; (d) your breach of these Terms or of any law, including telemarketing, do-not-call, call-recording, privacy and fair housing laws; or (e) any dispute between you and your leads, clients, brokerage or other contacts. Riley may choose to control the defense of any claim, at your cost.
16. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. The Federal Arbitration Act governs section 17.
17. Disputes and arbitration
17.1 Informal resolution first. Before starting an arbitration, the party with a dispute must send the other a written description of it, and both parties will try in good faith to resolve it for 30 days. Notices to Riley go to support@getriley.ai and to Riley’s postal address in section 21.
17.2 Binding arbitration. Any dispute, claim or controversy arising from or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The seat of arbitration is Wilmington, Delaware. Hearings will be held by videoconference unless the arbitrator decides otherwise, and the arbitrator may decide the dispute on written submissions. The arbitrator decides questions about whether a dispute must be arbitrated. Judgment on the award may be entered in any court with jurisdiction.
17.3 No class actions. Disputes will be resolved only on an individual basis. Neither you nor Riley may bring or take part in any class, collective, consolidated or representative action or arbitration.
17.4 Jury waiver. You and Riley waive any right to a jury trial.
17.5 Exceptions. Either party may bring an individual claim in small claims court. Riley may seek an injunction or other equitable relief in any court with jurisdiction to protect its intellectual property, the Service or its systems. Any court proceeding permitted by these Terms will take place in the state or federal courts in Delaware, and you consent to their jurisdiction.
17.6 Time limit. Any claim against Riley must be brought within one year after it arises, or it is permanently barred.
18. Apple app terms
If you download a Riley mobile app from Apple’s App Store:
a) your license to use the app is limited to Apple-branded products that you own or control, as permitted by the App Store Usage Rules;
b) these Terms are between you and Riley only, not Apple, and Riley, not Apple, is solely responsible for the app;
c) Apple has no obligation to provide maintenance or support for the app;
d) if the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the app’s purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the app;
e) Apple is not responsible for addressing any claims relating to the app or your use of it, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and claims under consumer protection, privacy or similar laws;
f) Apple is not responsible for the investigation, defense, settlement or discharge of any third-party claim that the app or your use of it infringes that party’s intellectual property rights;
g) you confirm that you are not located in a country subject to a U.S. government embargo or designated as “terrorist supporting”, and are not on any U.S. government list of prohibited or restricted parties;
h) you must comply with any applicable third-party terms when using the app; and
i) Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
These Terms are the end user license agreement for the app.
19. Changes to these Terms
Riley may change these Terms at any time. Changes take effect when posted at getriley.ai/legal/terms, unless a later date is stated. Riley may notify you of material changes by email or in the Service. By continuing to use the Service after changes take effect, you accept them.
20. General
20.1 Communications. You agree that Riley may send you notices and other communications electronically, by email or in the Service, and that these satisfy any legal requirement for written notice.
20.2 Assignment. Riley may assign these Terms, including in connection with a merger, acquisition or sale of assets. You may not assign them without Riley’s written consent.
20.3 Force majeure. Riley is not liable for delays or failures caused by events beyond its reasonable control, including failures of carriers, AI providers, hosting providers or other third parties.
20.4 Entire agreement. These Terms, together with any order form or plan details you accept, are the entire agreement between you and Riley about the Service and replace any earlier understandings. If an order form signed by Riley conflicts with these Terms, the order form controls.
20.5 Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect and the unenforceable part is enforced to the maximum extent allowed. Riley’s failure to enforce any part is not a waiver.
20.6 Relationship. You and Riley are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment or fiduciary relationship.
20.7 Export. You will comply with U.S. export control and sanctions laws in using the Service.
